Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Chakam. “You” refers to any person who accesses or uses the platform, whether as a registered organiser or as a guest attendee of an event. By creating an account, uploading content, or otherwise using the platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of the Service

Chakam is an event photo-sharing platform that allows registered organisers to:

• Create live event galleries with a unique shareable link and QR code.
• Configure gallery settings including upload permissions, watermarking, and download controls.
• Collect photos from event guests in real time without requiring guests to download an application or create an account.
• View analytics and manage event settings from a personal dashboard.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice where practicable.

3. Account Registration and Eligibility

To use the organiser features of Chakam, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain the security of your account credentials and not share them with others.
• Notify us immediately at legal@chakam.xyz if you suspect any unauthorised use of your account.
• Accept responsibility for all activity that occurs under your account.

You must be at least 18 years old to create an organiser account and enter into a binding contract. We reserve the right to terminate accounts that we determine have been created with false information or that are being used in violation of these Terms.

4. Subscription Plans and Payments

4.1 Available Plans

Chakam offers the following plans:

Plan features and prices may change. Existing subscribers will be given at least 30 days' notice of any price increase.

4.2 Billing and Renewal

Pro plan subscriptions are billed monthly. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Payment is processed in Nigerian Naira (NGN) via Paystack. By subscribing, you authorise us to charge your chosen payment method on a recurring basis.

4.3 Taxes

All prices are stated exclusive of Value Added Tax (VAT) or other applicable taxes. Where required by Nigerian law, applicable taxes will be added to your invoice.

4.4 Failed Payments

If a payment fails, we will notify you by email. We may retry the charge. If payment remains outstanding after reasonable attempts, we reserve the right to suspend access to your account until payment is received.

5. Refund Policy

5.1 Pro Subscriptions

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain Pro access until that date. We do not offer prorated refunds for partial billing periods.

If you cancel within 48 hours of your initial subscription purchase and have not used any Pro features during that period, you may request a full refund by emailing legal@chakam.xyz. Refunds are at our sole discretion after this window.

5.2 One-Time Event Purchases

One-time event purchases are non-refundable once the event upgrade has been applied to an event. If you purchased the upgrade but have not yet applied it, contact us within 7 days for a review.

5.3 Processing

Approved refunds will be processed to the original payment method within 5–10 business days, subject to Paystack's processing timelines.

6. User Content

6.1 Ownership

You retain all intellectual property rights in the photos and other content you upload (“User Content”). By uploading content to Chakam, you grant us a non-exclusive, royalty-free, worldwide licence to store, display, and deliver your content solely for the purpose of operating and providing the service.

6.2 Organiser Responsibility

As an event organiser, you are responsible for the content collected within your event gallery. You must ensure that:

• You have obtained, or have a lawful basis to collect, photos from your guests, particularly photos that include identifiable individuals.
• Your use of the platform complies with all applicable laws, including Nigerian data protection law and any laws relating to the rights of individuals whose images are captured.
• You do not use the platform to collect content on behalf of third parties without their knowledge.

6.3 Prohibited Content

You must not upload or allow the upload of content that:

• Is illegal under Nigerian federal or state law or any applicable jurisdiction.
• Constitutes child sexual abuse material (CSAM) or any sexual content involving minors.
• Contains nudity or sexually explicit material without appropriate consent.
• Infringes any third-party copyright, trademark, or other intellectual property right.
• Is defamatory, harassing, threatening, or abusive to any individual.
• Contains malware, viruses, or other harmful code.
• Violates the privacy of any individual without their lawful consent.

We reserve the right to remove any content that violates these Terms without notice and to report illegal content to the relevant Nigerian or international authorities.

7. Acceptable Use

You agree not to use the platform to:

• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorised access to any part of the platform, another user's account, or any server or network connected to the platform.
• Use automated tools, bots, scrapers, or similar means to access, scrape, or harvest data from the platform without our written consent.
• Transmit unsolicited commercial communications (spam) to guests through the platform.
• Interfere with or disrupt the integrity or performance of the platform or the data contained within it.
• Circumvent any technical measures we use to provide or protect the service.
• Resell or sublicence access to the platform to third parties without our express written consent.

8. Guest Attendees

Guests who access an event gallery via a QR code or shareable link are subject to these Terms with respect to their use of the platform. In particular, guests:

• Agree not to upload content that violates Section 6.3 (Prohibited Content).
• Acknowledge that uploaded photos may be visible to all guests attending the same event and to the event organiser.
• Understand that the event organiser controls whether downloads are permitted and whether a watermark is applied.

We are not responsible for how event organisers use or share the content collected through their galleries. Guests who have concerns about how their photos are being used by an organiser should contact the organiser directly or reach us at legal@chakam.xyz.

9. Intellectual Property

All intellectual property rights in and to the Chakam platform — including but not limited to the software, design, logos, trademarks, user interface, and documentation — are owned by or licensed to Chakam. Nothing in these Terms grants you any right to use our intellectual property except as strictly necessary to use the service for its intended purpose.

If you believe that your intellectual property rights have been infringed by content on the platform, please submit a takedown notice to legal@chakam.xyz with full details of the alleged infringement. We will investigate and respond within 10 business days.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We are not responsible for the content uploaded by organisers or guests, the conduct of event organisers, or any disputes between organisers and their guests.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHAKAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR SERVICE INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) the total amount you paid to Chakam in the 12 months preceding the claim or (b) ₦10,000. Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by Nigerian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Chakam and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the platform, (b) your violation of these Terms, (c) your User Content, or (d) your violation of any rights of any third party.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not entitle you to a refund of any prepaid fees except as described in Section 5.

13.2 By Chakam

We may suspend or terminate your account immediately and without notice if you:

• Materially breach these Terms.
• Upload or facilitate the upload of prohibited content.
• Fail to pay any amounts due.
• Act in a manner that we reasonably believe causes harm to the platform or other users.

We may also terminate or suspend accounts with 30 days' notice if we discontinue the platform or a material part of it. Upon termination, your right to use the platform ceases immediately. We will make your event data available for download for 30 days following termination (except where termination is due to a serious breach), after which it will be deleted.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Before initiating any formal proceedings, we encourage you to contact us at legal@chakam.xyz so that we can attempt to resolve the dispute informally within 30 days.

If the dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Consumers who are resident in jurisdictions that restrict forum selection clauses may rely on the courts of their local jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email (to the address associated with your account) and by updating the effective date at the top of this page, at least 14 days before the changes take effect. Your continued use of the platform after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the platform and may terminate your account before the effective date.

16. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chakam with respect to the platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right.
• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity in the event of a merger or acquisition.
• Force majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, government action, or failures of third-party service providers.
